Choice Hotels user generated content terms and conditions

By replying #YesToChoice to our request or by uploading content to our websites, mobile sites, or social media sites, you agree to each of the following:

You hereby grant to Choice and its agents, subsidiaries, affiliates, and third party service providers (collectively, “Affiliates”) and each of their respective officers, directors, employees, agents, assigns, licensees and successors, a non-exclusive, irrevocable, worldwide, royalty-free right and license to exhibit, display, reproduce, distribute and otherwise use your photograph, post and/or other user generated content (collectively, “UGC”), in perpetuity, on Choice’s websites, blogs, mobile applications, emails and on Choice-branded digital and social media channels. Choice and its Affiliates reserve the right to remove any UGC content from its websites, blogs, mobile applications, emails and Choice-branded digital and social media channels. Choice may modify the UGC for formatting, navigational, integration or other purposes, but such modifications shall not materially alter the UGC.

You agree that you will not be paid for Choice’s use of the photo (UGC) and that you will receive photo credit and acknowledgment on the social platform the photo is used.

You represent and warrant that:

• You are eighteen (18) years of age or older.
• You own or control all rights in and to the UGC and have the right to grant the foregoing license to Choice and its Affiliates, etc.
• The UGC does not contain material that is pornographic, defamatory, libelous, biased, discriminatory, abusive, violent, harassing or otherwise offensive or objectionable.
• You have consent to use the name, likeness and/or image of any person depicted in the UGC. In the case of any minors depicted, you are the parent or legal guardian of the minor(s).
• You will provide proof of consent upon request by Choice or its Affiliates.
• The UGC, and Choice’s and Affiliates’ use of the UGC, will not violate or infringe the rights of any third party or any applicable laws, rules, or regulations, including, without limitation, intellectual property rights, right of publicity, consumer protection, privacy and trade laws.
• The UGC does not contain any worms, viruses or other harmful code or files.

You agree to indemnify, hold harmless, defend and release Choice and Affiliates, along with their respective officers, directors, employees, agents, assigns, licensees and successors (collectively, the "Indemnified Parties") from and against any and all damages, liability, claims, actions, demands, causes of action and costs arising out of any breach of these Terms & Conditions and from and against all claims or demands that you, your heirs, representatives, executors, administrators, or any other persons acting on your behalf may have, whether now or in the future, relating to the use of the UGC.
